Agrotrade, www.agrotrade.com, is an e-commerce B2B state-of-the-art platform with the purpose to facilitate and connect verified Albanian agricultural produce suppliers with local and international retailers.

This document, Terms &Conditions, is a legally binding agreement between you (including the organization, company that you represent) and AgroTrade. 1. Validity and Changes
This agreements comes into effect when a user creates an account through AgroTrade and AgroTrade provides the service to the customer.
Users may stop using the service if they do not agree to the changes in the terms of service. If users choose to continue using the service provided by AgroTrade, they are considered to have agreed with the changes in the terms of service.
Signing this agreement means that you have also agreed that it is your responsibility to ensure that you read these Terms & Conditions regularly.

2. Eligibility
This website may only be used by individuals and entities who can form legally binding contracts. Your use of this website will be deemed to be a representation that you are 18 years of age or older. By using this website on behalf of any third party, you are representing to us that you are an authorized representative of that third party and that your use of this website constitutes that third party’s acceptance of these Terms and Conditions.

You herein acknowledge, understand and agree that all content of this website, including, but not limited to, trademarks, copyright, trade name, service marks, graphics, images, illustrations, text, video, audio clips, logos, and designs are the intellectual property of AgroTrade, its users, or third parties who have licensed the materials to us. All content is protected by intellectual property laws of the Republic of Albania and other countries. All worldwide right, title, and interest are reserved.
AgroTrade will always respect the intellectual property of others, and we ask that all of our users to the same. With regards to appropriate circumstances and at its sole discretion, AgroTrade may disable and/or terminate the accounts of any user who repeatedly violates our Terms & Conditions and/or infringes the rights of others.

5. Terms of Sale
The following terms apply to your purchase of the products offered on this website:

a. Purchasing Products. This website invites you to buy the Products shown on the pages by meeting your demand. Now, it is easier for you to find the right sellers through a matching algorithm provided in the website.
b. Product Descriptions. AgroTrade attempt to describe products, including their colors, type, size, place of origin; however, the appearance of products may vary due to the climate changes. For the above mentioned reasons, AgroTrade is not responsible for the products quality.
c. Availability and Pricing. Quantities of some Products may be limited and stock cannot always be guaranteed by only one producer. For this specific reason, we have created a matching algorithm to make it easier for the buyer-seller to work with each other.
Products offered for sale on this website are for sale all over the world and all prices are quoted in EURs.
d. Orders. AgroTrade have the right to refuse or limit any orders and limit quantities.
e. Payment. After placing the order and getting the confirmation from the seller, then the payment transaction start. The seller needs to provide its bank details to the buyer in order to receive the payment for the products. AgroTrade is not responsible for any problems that may occur during this phase.
f. Transfer of Title and Risk of Loss/Damage. Title to and the risk of loss/damage of all Products passes from seller to buyer at the time the Products are delivered to the common carrier for shipment.

6. Conclusion of Contract and Restriction of Use
Users are considered to agree to the terms of service when they sign the registration form. Upon the acceptance, AgroTrade will provide the users with an account that allows them to proceed farther facilitating trading opportunities and promotion of their products.
If members wish to terminate this contract, they should apply for termination 10 days prior to the date of termination by e-mail. The contract is concluded when AgroTrade accepts the users’ request to end use of the service.
AgroTrade can terminate the agreement or suspend the service if:

a. provide false information on the registration form, product quality and quantities.
b. provide content that appears to infringe the intellectual property rights of others or that is otherwise inappropriate for use on this website.
c. collect, manually or through an automatic process, information about other users or other information on or relating to this website;
d. purposely interfere with the service.
e. do not actively participate in or carry out unsatisfactory performance after registration.
f. if they do not observe the terms and conditions as well as the guidelines set forth by AgroTrade.

7. Communicating with you regarding our services
There are some situations that AgroTrade may have to contact you. Below is a list of these situations:

a. responding to questions or concerns;
b. sending information we think you may find useful or which you have requested from us about our products, services and the industry we serve;
c. sending push notifications to provide updates on your process;

You agree that a printed version of these Terms & Conditions and/or any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms & Conditions to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

8. Obligation of Members
In your use of this website, you shall not:

a. infringe any patent, trademark, trade secret, copyright, right of publicity or other right of any party;
b. defame, abuse, harass, stalk, or interfere with the security or use of this website or any websites linked to it;
c. interfere with or damage this website;
d. attempt to use another user’s account, impersonate another person or entity, misrepresent your affiliation with a person or entity.

9. Time of Using the Service & Errors
The service is provided 24 hours a day, 365 days a year unless serious operational or technical problems occur at AgroTrade. Yet the days or hours of periodic maintenance, set by AgroTrade, are exceptional.
It is our intention to make this website thorough, accurate, and helpful to our customers. Nonetheless, there may be times when certain information contained on this website may be incorrect, incomplete, or inaccurate. We apologize in advance for any such errors that may result in an incorrect price, item unavailability or otherwise affect your order. Please understand that the content of this website is presented on an “as is” basis and we make no claim as to its accuracy, either expressed or implied. 10. Discontinuance of Service
AgroTrade can discontinue service if the following occur:

a. repairs or maintenance of the service facility is necessary if incidents beyond control, i.e. forces of nature occur.
b. a state of national emergency, blackout, technical failure, the sharp increase in service use, etc. occurs.

(a) Modification. The Company may, in its sole discretion, change, modify, suspend, make improvements to or discontinue any aspect of this website, temporarily or permanently, at any time without notice to you. If you do not agree with any changes made to this website, you may elect not to use or visit this website.

11. Governing Law and Disputes
This Agreement shall be governed by and constructed exclusively in accordance with the laws of the Republic of Albania.
Any legal action or proceeding between AgroTrade and its members for any purpose concerning this Agreement or the parties’ obligations hereunder shall be brought exclusively in a court of competent jurisdiction sitting in Albania.
A lawsuit and legal papers should be filed within a year from the day when the cause of the lawsuit occurs and afterwards, the lawsuit should not be filed.
AgroTrade’s failure to insist upon or enforce strict performance of any part of this Agreement shall not be construed as a waiver of the whole of this Agreement.
